It was realized that an independent director will play a pivotal role
in the development of the best practices on a company whose affairs he
/ she is overseeing.
Who is this "Independent Director"? "What is his / her
role?" "What it takes to be an Independent Director?" These
are questions, which are attracting attention from all the quarters. There
is also an acute shortage of such independent directors in the country,
especially in the medium size, family business companies. SPJIMR by networking
with various professional bodies, decided to meet this socially felt need
by offering in-company MDPs or public programmes.
Objective
- The objective of such Programmes is to sensitize the participants
with the onerous responsibility imposed on an Independent Director by
all the stakeholders, the role to be performed and the tasks to be accomplished
- To familiarize her/him with board processes, contribution to performance,
board dynamics and the competencies required.
The programmes so offered cover the broad themes as
stated hereunder:
- Overview of Corporate Governance.
- Legal Environment of Corporate Governance and Compliance Processes.
- Role of Board and Board Dynamics.
- Role of Independent Director.
- Role and Functioning of Audit Committee.
- Board and Strategy & Risk Management.
- What it takes to be an Independent Director?
The scope and depth of coverage of these themes is determined by the profile
of participants. The detailed schedule with themes and faculty are made
available to participants.
